Terms of Service

These Terms of Service (“Terms”) govern access to and use of the website, software platform, and related services (collectively, the “Services”) operated by Panoptic Sentry LLC, a California limited liability company (“Panoptic,” “Company,” “we,” “our,” or “us”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Services.

Description of Services

Panoptic provides a technology platform designed to assist public-sector employers, labor organizations, consultants, and related professionals with labor market intelligence, compensation comparisons, and structured data analysis relating to public-sector employment.

The Services may include, without limitation, (i) automated data discovery and collection from publicly available sources, (ii) document ingestion and parsing systems designed to extract relevant compensation and employment data, (iii) analytics dashboards and structured datasets, (iv) downloadable or exportable data files, (v) application programming interfaces (“APIs”) permitting authorized software integrations, and (vi) other tools and functionality intended to support labor market analysis.

Certain features of the Services may be made available in beta, testing, or developmental form, and may therefore change, be modified, or be discontinued without notice.

Beta Services Disclaimer

From time to time, the Company may make available features or services identified as “beta,” “pilot,” or otherwise experimental. Users acknowledge and agree that such beta services are provided solely for testing and evaluation purposes and may contain errors, inaccuracies, or incomplete functionality.

Accordingly, the Company makes no representation or warranty regarding the reliability, availability, or accuracy of beta features, and reserves the right to modify or discontinue such features at any time without liability.

Eligibility and Authority

By accessing or using the Services, you represent and warrant that (i) you are at least eighteen (18) years of age, (ii) you possess the legal capacity to enter into binding agreements, and (iii) if you are accessing the Services on behalf of an organization, employer, labor group, consulting firm, or other entity, you have authority to bind that entity to these Terms.

User Accounts

Access to certain portions of the Services may require the creation of a user account. In connection with such accounts, users agree that (i) all information provided during registration shall be accurate and complete, (ii) login credentials and authentication information shall be kept confidential and not shared with unauthorized parties, and (iii) users shall promptly notify the Company of any suspected unauthorized access or security breach. Users remain responsible for all activity occurring under their accounts.

Acceptable Use

Users agree not to use the Services in any manner that (i) violates applicable laws or regulations, (ii) infringes or misappropriates the intellectual property rights of the Company or third parties, (iii) attempts to gain unauthorized access to any portion of the Services or related infrastructure, (iv) interferes with the operation or security of the platform, (v) extracts, copies, or scrapes data in a manner inconsistent with these Terms, (vi) reverse engineers or attempts to replicate the functionality of the platform, or (vii) uses the Services for purposes competitive with the Company. The Company reserves the right to suspend or terminate accounts engaged in conduct that violates these Terms.

Data Sources and Information Accuracy

The Panoptic platform may collect and process information derived from publicly available sources, including but not limited to government websites, publicly posted labor agreements, salary schedules, and other publicly accessible employment-related documents.

While the Company seeks to provide accurate and useful data, users acknowledge that publicly sourced information may contain inaccuracies, omissions, or outdated content. Accordingly, the Company does not guarantee the completeness, accuracy, or timeliness of any data provided through the Services.

Users remain solely responsible for independently verifying any information prior to relying upon it in connection with negotiations, legal proceedings, or business decisions.

Intellectual Property

All intellectual property rights associated with the Services, including but not limited to software code, algorithms, analytical models, data processing systems, interface designs, documentation, and proprietary methodologies, are and shall remain the exclusive property of Panoptic Sentry LLC. Except as expressly permitted by the Company, users may not reproduce, distribute, modify, publicly display, or create derivative works based upon the Services.

API Access

Where the Company provides API access or related developer tools, such access shall be subject to additional usage limitations established by the Company. Users agree that (i) API credentials shall remain confidential, (ii) API usage shall comply with any rate limits or technical restrictions imposed by the Company, and (iii) such access may be modified, suspended, or revoked by the Company at its discretion.

Payment Terms

Certain portions of the Services may be made available only through paid subscriptions or enterprise agreements. Fees may be assessed on a monthly, annual, or custom contractual basis. Unless otherwise stated in writing, all payments are non-refundable.

Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, the Company disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company makes no guarantee that the Services will operate without interruption, error, or security vulnerabilities.

Limitation of Liability

To the maximum extent permitted by law, Panoptic Sentry LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the use of the Services. In no event shall the Company’s aggregate liability exceed the total amount paid by the user to the Company during the twelve (12) months preceding the event giving rise to the claim.

Termination

The Company reserves the right to suspend or terminate user access to the Services at any time where it determines that a user has violated these Terms, misused the platform, or otherwise created security or legal risk. Users may terminate their accounts at any time.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, with venue in Sacramento County, California, without regard to conflicts of law principles.

Attorneys’ Fees

In the event of any dispute arising out of or relating to these Terms or the Services, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.

Modification of Terms

The Company reserves the right to update or modify these Terms at any time. Continued use of the Services following such updates constitutes acceptance of the revised Terms.
